Terms of Service — Membership Billing & Autodraft

1. Acceptance of Terms

By applying for, purchasing, or maintaining a membership, vault storage unit, or related service with Canon Vaults, LLC (“Canon Vaults,” “we,” “us,” or “our”), operating at 101 W. Canon Perdido St, Santa Barbara, CA (the “Facility”), you (“Member,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”), including the billing and automatic payment authorization set out in Section 4. If you do not agree to these Terms, do not apply for or accept membership.

2. Membership & Services

2.1 Canon Vaults offers private vault storage, safe deposit access, and related membership benefits (collectively, the “Services”) subject to availability, underwriting/approval, and execution of a Membership Agreement and any applicable vault lease or license.

2.2 Membership tiers, vault unit sizes, and included benefits are described in your Membership Agreement and the current Canon Vaults fee schedule, which forms part of these Terms by reference.

2.3 Membership is personal to the Member and, unless otherwise stated in your Membership Agreement, is non-transferable without Canon Vaults’ prior written consent.

3. Fees and Billing

3.1 Fees. Membership dues, vault storage fees, initiation/founding fees, and any add-on service fees (collectively, “Fees”) are set out in your Membership Agreement or the then-current fee schedule and are subject to change as described in Section 7.

3.2 Billing cycle. Fees are billed on a recurring basis (monthly or annually, as selected at enrollment) in advance of the period to which they apply, unless otherwise stated in your Membership Agreement.

3.3 Taxes. Fees are exclusive of applicable federal, state, and local taxes, which will be added to each billing statement where required by law.

3.4 Proration. Fees for a partial billing period (e.g., mid-cycle enrollment or upgrade) will be prorated on a daily basis unless otherwise agreed in writing.

4. Autodraft / Automatic Payment Authorization

4.1 Authorization. By providing a credit card, debit card, or bank account (“Payment Method”) and enrolling in membership, you authorize Canon Vaults and its designated payment processor to automatically charge or debit that Payment Method (“Autodraft”) for all Fees as they become due, on a recurring basis, until your membership is terminated in accordance with Section 6.

4.2 Recurring nature. This authorization remains in effect until you (a) update your Payment Method, or (b) cancel your membership in writing in accordance with these Terms. This is a recurring, automatically-renewing charge, not a single transaction.

4.3 Advance notice of changes. If the amount, date, or frequency of an Autodraft charge changes (other than a routine fee-schedule update under Section 7), Canon Vaults will provide notice at least 10 days before the change takes effect, by email to the address on file.

4.4 Keeping payment information current. You are responsible for ensuring your Payment Method remains valid and sufficiently funded, and for promptly updating it on file if it expires, is replaced, or is declined.

4.5 Authorization to share data. You authorize Canon Vaults to share your Payment Method information with its third-party payment processor solely to process Autodraft charges and maintain PCI-compliant storage of payment data. Canon Vaults does not itself store full card or bank account numbers.

4.6 Revoking authorization. You may revoke Autodraft authorization at any time by providing written notice to Canon Vaults at least 5 business days before the next scheduled charge date. Revoking Autodraft does not cancel your membership or relieve you of Fees owed; you remain responsible for arranging an alternative timely payment method for any Fees still due.

5. Late Payment, Failed Payment & Default

5.1 Failed charge. If an Autodraft charge fails or is declined, Canon Vaults may retry the charge and/or notify you by email. A late fee of $25 or 5% of the amount due, whichever is greater, may apply to any Fee not received within 10 days of its due date.

5.2 Suspension of access. Canon Vaults reserves the right to suspend vault access and membership privileges if Fees remain unpaid more than 30 days past due, upon written notice to the Member.

5.3 Default. If Fees remain unpaid more than 60 days past due, Canon Vaults may treat the Member as in default under the Membership Agreement, which may result in termination of membership, removal of contents from the vault in accordance with the lien and notice procedures required by California law, and/or referral to collections. Nothing in this Section limits any lien rights Canon Vaults holds under the Membership Agreement or applicable self-storage/safe-deposit law.

5.4 No waiver. Canon Vaults’ acceptance of a late payment does not waive its right to enforce this Section for any future late or missed payment.

6. Cancellation, Refunds & Termination

6.1 Cancellation by Member. You may cancel your membership by providing written notice at least 30 days before your next billing date. Cancellation takes effect at the end of the then-current billing period; Autodraft charges already processed for that period are non-refundable except as required by law.

6.2 Refunds. Except as expressly stated in your Membership Agreement or required by law, Fees are non-refundable, including initiation/founding fees and partial-month or partial-year dues.

6.3 Termination by Canon Vaults. Canon Vaults may suspend or terminate membership for breach of these Terms, non-payment (Section 5), or conduct that threatens the security, safety, or reputation of the Facility or other members, with notice as required under the Membership Agreement.

6.4 Effect of termination. Upon termination, all outstanding Fees become immediately due, Autodraft authorization continues to apply to amounts owed through the effective termination date, and vault contents will be handled in accordance with the Membership Agreement and applicable law.

7. Changes to Fees and Terms

7.1 Canon Vaults may update its Fees or these Terms from time to time. For a Fee change, Canon Vaults will provide at least 30 days’ written notice (by email to the address on file) before the new Fee applies to your Autodraft charges.

7.2 Continued use of the Services or membership after a Fee or Terms change takes effect constitutes acceptance of the change. If you do not agree, you may cancel in accordance with Section 6 before the change takes effect.

8. Limitation of Liability

To the maximum extent permitted by law, Canon Vaults’ aggregate liability arising out of billing errors, Autodraft processing, or these Terms will not exceed the Fees paid by the Member in the 12 months preceding the claim. Canon Vaults is not liable for indirect, incidental, or consequential damages, including bank overdraft fees resulting from an Autodraft charge, except where such liability cannot be excluded by law.

9. Governing Law & Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or your membership will be subject to the exclusive jurisdiction of the state and federal courts located in Santa Barbara County, California, unless your Membership Agreement specifies an alternative dispute resolution process (e.g., arbitration).
